These Special Terms of Use apply to your access and use of certain protected and secured areas of this web site owned and operated by Certara Coöperative U.A and/or its subsidiaries and affiliates, including, without limitation, Tripos, L.P. (“Tripos”), Pharsight Corporation (“Pharsight”) and Tripos LP-Sucursal em Portugal (“Tripos-Portugal”), (collectively, the “Certara Companies” and each a “Certara Company”) (“Secured Website”), and are subject to these Special Terms of Use, in addition to our Terms of Use and our Privacy Statement. By using a Secured Website, you agree, on behalf of yourself and your employer, if applicable, to accept and comply with these additional terms and conditions below (these “Special Terms of Use”). Note that the Certara Companies may update Special Terms of Use at any time without notice. You should visit this page periodically to review the Special Terms of Use that are in effect during your visit of our Secured Website.

2. Secured Website. A Secured Website is an on-line, self-service system, which (i) allows you to purchase Tripos and/or Pharsight products online and (ii) features postings (a) by one or more of the Certara Companies of notes, updates, maintenance releases and fixes to its software, and (b) by one or more of the Certara Companies and their respective customers, collaborators, and partners regarding technical and non-technical topics of interest.

3. Access and Use of Secured Website. Your access to the Secured Website is permitted via your personal username and password. Your sessions may be governed, in addition to these Special Terms of Use, the general Terms of Use and the Privacy Statement, under a separate agreement between you or your employer and one or more of the Certara Companies. All information specified and materials posted in a Secured Website by one or more of the Certara Companies are CONFIDENTIAL and PROPRIETARY to one or more of the Certara Companies and/or respective licensors, as the case may be, and shall only be used in connection with (a) the use of Tripos or Pharsight software, (b) the use of Tripos or Pharsight software, and (c) informational communications with other Certara Companies’ customers, collaborators, and partners. Use of such CONFIDENTIAL and PROPRIETARY information and materials for any other purpose is strictly prohibited.

4. Maintenance of Secured Website. In the interest of diminishing exposure to software viruses, the Certara Companies test and scan for software viruses prior to submission of information to its Secured Website. You represent and warrant that you shall, throughout your use of any Secured Website, use a reliable virus detection system for any material or information posted to any Secured Website, utilize adequate back-up procedures, notify the Certara Companies of any virus detected within you or your employer’s system(s) associated with any Secured Website, and generally exercise a reasonable degree of caution when accessing and using any Secured Website. The Certara Companies do not warrant that any Secured Website will operate without interruption or without errors. None of the Certara Companies assume any responsibility for anything posted, including, but not limited to, information about the Tripos or Pharsight software or modification code or portions thereof. The Certara Companies reserve the right to modify or suspend your access to any Secured Website if any Certara Company determines that your access and/or use of such Secured Website is in violation of the Terms of Use, the Privacy Statement or these Special Terms of Use.
